If you are accessing the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and "you" refers to both the individual and the organization.
If you do not agree to these Terms, do not access or use the Service.
2. Description of Service

The Service is provided to organizations and their authorized users. Features available may vary by subscription plan, organization configuration, and applicable module access.
3. Accounts and Access

- You must provide accurate and current information when creating or updating your account.
- You must promptly notify us of any unauthorized access or suspected security incident.
- Account access may be managed by the organization that provisioned your account. Your organization's administrators may control permissions, reset credentials, and deactivate accounts.
- You may not share account credentials or allow unauthorized individuals to access the Service.

5. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or third-party right.
- Upload or transmit malicious code, harmful content, or unauthorized data.
- Attempt to gain unauthorized access to systems, accounts, or data.
- Interfere with or disrupt the integrity or performance of the Service.

- Use the Service to compete with or build a substantially similar product.
- Scrape, crawl, or systematically extract data from the Service without authorization.
We reserve the right to investigate and take appropriate action, including suspension or termination of access, for violations of this section.
6. Intellectual Property
All rights, title, and interest in and to the Service, including software, designs, trademarks, and content created by Rouvant, remain the exclusive property of Rouvant or its licensors.
These Terms do not grant you any ownership rights. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose.
You retain ownership of any data and content you submit to the Service. By submitting content, you grant us a limited license to process, store, and display that content as necessary to provide the Service.
7. Data and Privacy
Our collection and use of information in connection with the Service is governed by our Privacy Policy, which is incorporated into these Terms by reference.
Customers acting as data controllers for their employees' personal data are responsible for establishing a lawful basis for that processing and for complying with applicable data protection laws in their jurisdiction.
8. Payment and Billing
Access to certain features or subscription tiers may require payment. Subscription fees, billing cycles, and applicable taxes will be described at the time of purchase or in a separate order form.
- All fees are non-refundable unless otherwise stated in writing.
- We reserve the right to update pricing with reasonable notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
- Failure to pay may result in suspension or termination of access to paid features.
9. Availability and Modifications
We strive to provide reliable access to the Service but do not guarantee uninterrupted or error-free availability. We may perform maintenance, updates, or emergency changes that temporarily affect access.
We reserve the right to modify, add, or discontinue features or functionality at any time. When material changes affect core functionality, we will provide reasonable notice where practicable.
10. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that the Service will meet your specific requirements, operate without interruption, be free of errors, or that defects will be corrected. Any reliance on the Service is at your own risk.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OPSFLOW SUITE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100).
Some jurisdictions do not allow limitations on implied warranties or exclusion of certain damages, so some of the above limitations may not apply to you.
12. Indemnification
You agree to defend, indemnify, and hold harmless Rouvant and its officers, directors, employees, and affiliates from and against any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of or access to the Service.
- Your violation of these Terms.
- Your violation of any applicable law or third-party right.
- Data or content you submit to the Service.
13. Termination
Either party may terminate access to the Service at any time. We may suspend or terminate your access immediately if we determine that you have violated these Terms or pose a risk to the Service or other users.
Upon termination, your right to access the Service ceases. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.
Customers may request export of their data prior to account closure, subject to available tooling and reasonable timelines.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.
Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in California, and you consent to personal jurisdiction in those courts.
15. Changes to These Terms
We may update these Terms from time to time. When we do, we will revise the effective date at the top of this page. For material changes, we may provide additional notice through the platform or other communication channels.
Continued use of the Service after updated Terms are posted constitutes your acceptance of the revised Terms.
